Agreement to Terms
These Terms and Conditions constitute a legally binding agreement between you and Cermat Solutions regarding your use of our website and commercial cleaning services. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety.
If you do not agree with all of these Terms and Conditions, you are expressly prohibited from using our services and must discontinue use immediately. We reserve the right to modify these Terms and Conditions at any time without prior notice, and your continued use of our services constitutes acceptance of such modifications.
User Obligations and Conduct Requirements
1. Legal Compliance
You agree to comply with all applicable laws, regulations, and ordinances in connection with your use of our services. This includes but is not limited to:
- • All local, state, national, and international laws and regulations
- • Workplace safety and health regulations applicable to your facility
- • Building codes and facility management requirements
- • Environmental protection and waste disposal regulations
- • Employment and labor laws relevant to service provision
2. Accurate Information
You must provide accurate, complete, and current information when engaging our services. This includes facility details, access requirements, special conditions, and contact information. You are responsible for promptly updating any information that changes during the course of our service relationship.
3. Facility Access and Cooperation
To enable effective service delivery, you agree to:
- • Provide reasonable access to your facility during agreed service hours
- • Inform us of any hazardous conditions or special requirements
- • Designate a contact person for service coordination
- • Ensure compliance with building security and access protocols
- • Provide necessary utilities and resources as specified in service agreements
4. Prohibited Conduct
You must not engage in any conduct that:
- • Interferes with our ability to provide services effectively
- • Creates unsafe working conditions for our personnel
- • Violates any applicable laws or regulations
- • Infringes upon the rights of Cermat Solutions or third parties
- • Involves harassment, discrimination, or inappropriate conduct toward our staff
5. Indemnification Obligations
You agree to indemnify and hold harmless Cermat Solutions, its employees, and agents from any claims, damages, or expenses arising from your breach of these Terms and Conditions, your violation of any law or regulation, or your negligent or willful misconduct. This indemnification extends to reasonable legal fees and costs incurred in defending against such claims.
Service Terms and Conditions
Service Scope
Our services will be provided in accordance with the specifications outlined in individual service agreements. Service scope, frequency, and deliverables will be documented in writing and signed by both parties. Any modifications to the agreed scope require written approval from authorized representatives of both parties.
Service Standards
We commit to providing services that meet industry standards and comply with applicable regulations. Our personnel are trained and equipped to perform the specified services professionally. However, actual results may vary based on facility conditions, usage patterns, and factors outside our reasonable control.
Service Modifications
We reserve the right to modify service delivery methods, products used, or scheduling arrangements to maintain quality standards or comply with regulations, provided such modifications do not materially alter the agreed service outcomes. We will notify you of significant changes in advance when possible.
Liability Limitations and Warranties
Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis. While we strive for excellence, we make no warranties, express or implied, regarding:
- • Specific outcomes or results from our cleaning services
- • Uninterrupted or error-free service delivery
- • Complete elimination of all contaminants or pathogens
- • Prevention of all facility maintenance issues
- • Compatibility with all facility types and conditions
Limitation of Liability
To the maximum extent permitted by law, Cermat Solutions shall not be liable for:
- • Indirect, incidental, special, consequential, or punitive damages
- • Loss of profits, revenue, data, or business opportunities
- • Damages arising from factors beyond our reasonable control
- • Claims exceeding the total fees paid for services in the 12 months preceding the claim
Exclusion of Consequential Damages
Under no circumstances shall Cermat Solutions be liable for any consequential, indirect, or special damages arising from service provision, including but not limited to business interruption, loss of goodwill, or damage to reputation, even if advised of the possibility of such damages.
Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, labor disputes, pandemics, equipment failures, or other force majeure events. In such cases, our obligations will be suspended for the duration of the event.
Insurance and Liability Coverage
Cermat Solutions maintains appropriate insurance coverage for our commercial cleaning operations, including general liability and workers' compensation insurance as required by Malaysian law. Details of our insurance coverage are available upon request.
While we maintain insurance coverage, you acknowledge that certain damages or losses may not be covered by our insurance policies. Service agreements may specify additional insurance requirements or liability limitations applicable to specific engagements.
Termination and Suspension
Termination by Client
You may terminate services in accordance with the notice periods and procedures specified in your service agreement. Early termination may result in cancellation fees or charges for services already performed. All outstanding invoices must be paid upon termination.
Termination by Cermat Solutions
We reserve the right to terminate services immediately without notice if you breach these Terms and Conditions, fail to make timely payments, create unsafe working conditions, or engage in conduct that violates applicable laws or our policies.
Effect of Termination
Upon termination, all rights and obligations cease except those that by their nature should survive, including payment obligations, liability limitations, indemnification provisions, and dispute resolution procedures.
Legal Information and Dispute Resolution
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
Dispute Resolution
In the event of any dispute arising from these Terms and Conditions or our services, the parties agree to first attempt resolution through good faith negotiation. If negotiation fails within 30 days, disputes may be submitted to mediation before pursuing litigation.
Arbitration
By mutual agreement, disputes may be resolved through binding arbitration conducted in Kuala Lumpur under the rules of the Malaysian Arbitration Centre. The arbitrator's decision shall be final and binding on both parties.
General Provisions
Entire Agreement
These Terms and Conditions, together with any service agreements and related documents, constitute the entire agreement between you and Cermat Solutions regarding our services, superseding all prior agreements and understandings.
Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions shall be replaced with valid provisions that most closely approximate the intent of the original provision.
Waiver
No waiver of any term or condition shall be deemed a continuing waiver or waiver of any other term. Our failure to assert any right under these Terms and Conditions shall not constitute a waiver of that right.
Assignment
You may not assign or transfer your rights or obligations under these Terms and Conditions without our prior written consent. We may assign our rights and obligations to any affiliate or successor entity without restriction.
Notices
All notices under these Terms and Conditions must be in writing and delivered by email, mail, or courier to the addresses provided in service agreements. Notices are deemed received when actually received or three business days after mailing.
Modifications to Terms
We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated by posting updated terms on our website with a new "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated terms. For active service agreements, material changes may require mutual written agreement.
